Welcome to FrontPorch™, We are so very happy you are here and we look forward to your participation.

This Terms of Use policy describes your rights as well as responsibilities as a member of the FrontPorch community as well as what you can expect from us.

NeighbourhoodLane, Inc. hereafter sometimes referred to as "FrontPorch" Terms of Use ("Agreement") was last modified on February 22, 2016.

Please read these Terms of Use carefully before using https://frontporch.social ("the Site") or any mobile application (“Mobile App”) operated by NeighbourhoodLane, Inc. ("us", "we", "our" or "FrontPorch"). When you use our Site, you are entering into a legal agreement and you agree to all of these terms. You also agree to our Privacy Policy, which covers how we collect, use, share, and store your personal information. Neighborhood Specialists, Administrators and Licensee also agree to the Licensing Agreement.

We reserve the right to change these Terms of Use from time to time for any reason, which shall be effected by posting of the updated Terms of Use to our Site; provided that any such changes shall only apply to your use of this Site or the Licensing Agreement; provided that any such changes shall only apply to your use of the Site after the date of such change, unless you expressly accept retroactive application of such change.

As a resident, When you click “Y” when presented with the question if you agree to FrontPorch’s Terms of Use and Privacy Policy and then click “Submit” when you register to use the Site you are agreeing to these Terms of Use. Continued access or use of the Site in any manner, including, but not limited to, visiting or browsing the Site or contributing content or other materials to the Site, you agree to be bound by these Terms of Use. If you click “N” you are not authorized to use our Site. Other uses such as Neighborhood Specialist, Administrators and Licensee agree to Terms of Use and Privacy Policy every time they access the site and under the License Agreement.

ACCESS

Members are asked to provide certain information in order to access the Site and its resources. The accuracy, timeliness, and completeness of all information submitted by the user on this Site are conditions to use the Site. We reserve the right to deny user access to our Site or the resources on the Site and to discontinue or temporarily suspend user access at any time if it determines that the information provided by a user is not accurate, up to date, or complete. We do not currently screen members for Criminal Records or Registered Sex Offenders or their households but may implement such a feature in the future. We encourage all residents of a neighborhood to practice safety and common sense. If you wish to search for Registered Sex Offenders in your state you may go to http://www.fbi.gov/scams-safety/registry.

MEMBER ELIGIBILITY

To be eligible to use the Service, you must meet the following criteria and represent and warrant that you: (1) are the “Minimum Age” (defined below) or older; (2) you are a current resident of the neighborhood, (3) are not currently restricted from the FrontPorch, or not otherwise prohibited from having a FrontPorch account, (4) are not a competitor of FrontPorch, (5) are not using the Services for reasons that are in competition with FrontPorch; (6) if you are a Neighborhood Specialist, Administrator or Licensee you will not show, demonstrate or disclose any information about FrontPorch to any competitors, (7) as a resident you will only maintain one FrontPorch account at any given time; (8) will use your real name and only provide accurate information in your profile or postings; (9) have full power and authority to enter into this Agreement and doing so will not violate any other agreement to which you are a party; (10) will not violate any rights of FrontPorch or third party, including intellectual property rights such as copyright, trademark rights, patents; and (11) agree to provide at your cost all equipment, software, mobile access, and internet access necessary to use the Services.

MINIMUM AGE

Members must be at least 13 years old for the United States, however, if applicable law requires that you must be older than such ages in order for FrontPorch to lawfully provide the Services to you (including the collection, storage and use of your information in accordance with our privacy policy) then the Minimum Age would be such older age. The Services are not intended for use by children under the age of 13 and if you are under 13 years old, do not use our services of provide any information to us.

YOUR ACCOUNT

The residential profile you create on FrontPorch.social is your account and will become part of the FrontPorch system. You agree to: (1) keep your password secure and confidential and will not share the information; (2) not permit others to use your account (even with family members); (3) not use other’s accounts; (4) not sell, trade, or transfer your FrontPorch account to another party; and (5) not charge anyone for access to any portion of FrontPorch, or any information therein. Further, you are responsible for anything that happens through your account until you close down your account or prove that your account security was compromised due to no fault of your own. To close your account, go to My Settings and then Control My Notifications and select Delete My Account. If you encounter any problems deleting your account please contact FrontPorch directly by utilizing Contact Us.

The Neighborhood Specialist profile under Administrative tools is subject to the License Agreement and Privacy Policy. To delete the Neighborhood Specialist account you must contact FrontPorch directly by utilizing ContactUs@FrontPorch.social.

SECURITY

You are responsible for maintaining the security of your account, and you are fully responsible for all activities that occur under the account and any other actions taken in connection with the account. You must immediately notify us of any unauthorized use of your account or any other breaches of security. We will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions.

FrontPorch does not have a formal verification process that members currently reside in your neighborhood and/or within the neighborhood boundaries and provides no guarantees that individuals outside the neighborhood boundaries will not utilize the system. The Neighborhood Specialist relies on members being honest about their current residence. If you find members on the Site that you believe are not residents you may report them to the Neighborhood Specialist or contact FrontPorch directly using ContactUs@FrontPorch.social and the member will be contacted to provide further information. If the result is that they do not meet eligibility criteria they will be removed.

NEIGHBORHOOD SPECIALIST

The Licensee, Neighborhood Specialist and/or their assigned administrators are not affiliated in any way with FrontPorch. Neighborhood Specialists and their administrators use the Site in their capacity under a Licensing Agreement. Neighborhood Specialists and their administrators are not employees or independent contractors of FrontPorch or any other affiliated company and FrontPorch does not endorse, recommend, sponsor or approve of any individual acting as a Neighborhood Specialist or administrator of the Site.

References to any products, services, processes, or other information, by trade name, trademark, manufacturer, and supplier or otherwise does not constitute or imply endorsement, sponsorship or recommendation thereof by us. Any Neighborhood Specialist or assigned administrator may have other websites, profiles, blogs, social media pages etc. It is your responsibility to research the Neighborhood Specialist before using any of their services. FrontPorch is not responsible for their actions or services and shall bear any liability for any of their services, actions or legal compliance.

OTHER RESIDENTS

You may also find residents presenting themselves to the neighborhood that they provide services as a means of generating business. We have the Bulletin Board section for this purpose and they may submit a post regarding their services. FrontPorch and the Neighborhood Specialist do not endorse, recommend, sponsor or approve of any individual and their services. These are individuals in your community and you should verify their information and services them in the same manner as you would any other individual you wish to do business with.

CONTRIBUTION OF CONTENT TO THE SITE

When you contribute content to the Site in the form of profile information, posting material, photos, videos, links, newsletters, recipes submitted, business reviews and comments on the Site, recipe submissions in CookBook, business reviews in Applause or otherwise make material available by means of the Site (collectively, your “Content”) we can publish your Content in your neighborhood or to other nearby neighborhoods. You are entirely responsible for the content of, and any harm resulting from, that Content. That is the case regardless of whether the Content in question constitutes text, graphics, audio, or computer software.

By submitting, disclosing, or offering a content in any category including all posts, comments, reviews, photographs, images, videos, “favorites” list, feedback, suggestions, ideas, notes, drawings, concepts, and other information, content or material, or other item (each, a “Submitted Item”) to FrontPorch, either online or offline and whether or not solicited by FrontPorch, you hereby grant to NeighbourhoodLane, Inc. an irrevocable, nonexclusive, perpetual, worldwide, royalty-free right and license to use, display, publicly perform, modify, reproduce, publish, distribute, make derivative works of, sublicense, and otherwise commercially and non-commercially exploit your Submitted Items and all copyright, trade secret, trademark, or other intellectual property rights therein, in any manner or medium now existing or hereafter developed (including but not limited to print, film, or electronic storage devices), and the exclusive right to use, display, publicly perform, modify, reproduce, publish, distribute, make derivative works of, sublicense, and otherwise exploit all such materials on commercial websites, without compensation of any kind to you or any third party.

You hereby represent and warrant (a) you have all necessary right, power, and authority to grant the license set forth herein to your Submitted Item, and (b) your Submitted Item does not violate, misappropriate, or infringe any copyright, trade secret, trademark or other intellectual property right of any third party. You will take, at FrontPorch’s’ expense, any further action (including, without limitation, execution of affidavits and other documents) reasonably requested by FrontPorch to effect, perfect, and confirm the license granted to FrontPorch to your Submitted Item as set forth herein.

Publication or use of any Submitted Items is at the sole discretion of FrontPorch and FrontPorch is under no obligation to publish or use any Submitted Item. If your Submitted Item is published, used and/or posted on the Web site or otherwise used by FrontPorch, we may include your name, likeness, photo or biographical information in conjunction with such publication, posting, or use. By submitting, disclosing, or offering a Submitted Item, you hereby grant FrontPorch the right to use your name in connection with the publication, use or posting of your Submitted Item.

Without limiting any of those representations or warranties, we have the right (though not the obligation) to, in our sole discretion (i) refuse or remove any content that, in our reasonable opinion, violates any policy or is in any way harmful or objectionable, or (ii) terminate or deny access to and use of the Site to any individual or entity for any reason, in our sole discretion. We will have no obligation to provide a refund of any amounts (if any) previously paid under these circumstances.

When you use our Site and add content in any form, by making Content available, you represent and warrant that the Content:

  • Fully complies with any third-party licenses relating to the Content, and you have done all things necessary to successfully pass through to end users any required terms.

  • Does not contain an material including programs containing viruses, worms, or other computer code, files, or programs designed to impede, damage, or restrict the functions of computer software or hardware or of electronic telecommunications

  • Is not spam, is not machine or randomly generated, and does not contain unethical or unwanted commercial content designed to drive traffic to third party Sites or boost the search engine rankings of third party Sites, or to further unlawful acts (such as phishing) or mislead recipients as to the source of the material (such as spoofing).

  • Is not pornographic, libelous or defamatory, does not contain threats or incite violence towards individuals or entities, and does not violate the privacy or publicity rights of any third party.

  • Is not threatening or offensive material of an obscene, sexual, racially discriminatory, unjust, or hateful nature that would threaten, insult, libel, slander, infringe the privacy of, or involve stalking of others

  • Is not attempting to take advantage of or endanger children through exposing them to inappropriate content, requesting details that could be used to identify individuals, or other methods

  • Is not infringing on the intellectual property rights or other rights of any company or individual, including infringement on the copyrights, trademarks, or likeness rights of others

  • Is not a material in violation of law or that could be deemed to be in violation of law

  • Is not feigning a relationship between you and any other company or individual, or communicating such a relationship inaccurately, or including falsified headers or identifiers in order to falsify the origin of content

  • Except as expressly permitted on this Site under the Neighborhood Specialist Licensing Agreement, is not material advertising sales activities (such as provision of products or services) or involving other commercial activities (such as holding drawings or contests, posting banner advertising for sponsors, and/or soliciting for products or services)

  • Is not material that functions in ways that would bring disorder to the ordinary flow of dialogs, scroll through screens at a speed at which other users cannot input entries, or affect the abilities of others involved in real-time activities through this Site

  • Is not in material in violation of properly formulated policies or rules regarding use of this Site or networks connected to it

  • Does not contain hyperlinks to Sites that include any of the content described above.

MONITORING

FrontPorch reserves the right to monitor use of this Site in order to confirm compliance with the above Terms of Use and to delete, edit, modify or reject any information submitted for any reason.

FrontPorch reserves the right to also allow Neighborhood Specialists and their administrators the right to monitor use of this Site in order to confirm compliance with the above Terms.

Regardless of this right, you remain responsible for the content you provide. You hereby acknowledge and consent that neither NeighbourhoodLane, Inc. nor any third party Licensee or individual(s) providing Neighborhood Specialist or Administrative functions on FrontPorch shall bear any liability for performance or nonperformance by FrontPorch or such third party regarding material provided.

RESPONSIBILITY OF SITE USERS

By operating the Site, FrontPorch does not represent or imply that it endorses any or all of the contributed content, or that it believes such material to be accurate, useful or non-harmful. You are responsible for taking precautions as necessary to protect yourself as well as your computer systems from viruses, worms, Trojan horses, and other harmful or destructive content. The Site may contain content that is offensive, indecent, or otherwise objectionable, as well as content containing technical inaccuracies, typographical mistakes, and other errors. FrontPorch disclaims any responsibility for any harm resulting from the use by visitors of the Site.

LINKS TO OTHER SITES

This Site may include links to other sites not operated by or related to FrontPorch. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third party Sites or services. We strongly advise you to read the terms and conditions and privacy policy of any third-party Site that you visit. FrontPorch is not responsible for the content of any other Internet Sites linked to this Site. A link to another Site does not imply that FrontPorch endorses the Site or any products or services that it describes. Your access to and use of any other Internet Sites linked to or from this Site is at your own risk and FrontPorch assumes no obligation or liability in connection therewith. Furthermore, FrontPorch shall not be liable for any direct or indirect damage to computer systems or other problems sustained by users as a result of links to other Internet Sites, including results of user access to third-party technologies, Site information, and/or programs.

INTELLECTUAL PROPERTY

The Site and its original content, features and functionality are owned by NeighbourhoodLane, Inc. and are protected by international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws.

TRADEMARKS AND SERVICE MARKS

The trademarks, service marks, logos, images, and icons ("marks" hereinafter) appearing on this Site are the property of NeighbourhoodLane, Inc. and other parties. Users are prohibited from using any of the marks without the prior written consent of NeighbourhoodLane, Inc. or the third-party owners of such marks.

WORK PRODUCT OWNERSHIP

Any copyrightable works, ideas, discoveries, inventions, patents, products or other information (collectively the “Work Product”) developed in whole or in part by (NeighbourhoodLane, Inc.) in connection with the services will be the exclusive property of NeighbourhoodLane, Inc.

TERMINATION

We may terminate or suspend your account or other privileges, or otherwise refuse service to you, without cause or notice, which may result in the forfeiture and destruction of all information associated with you. All provisions of this Agreement that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

LIMITATION OF LIABILITY

In no event will FrontPorch, or its suppliers or licensors, be liable with respect to any subject matter of this agreement under any contract, negligence, strict liability or other legal or equitable theory for: (i) any special, incidental or consequential damages; (ii) the cost of procurement or substitute products or services; (iii) for interruption of use or loss or corruption of data; or (iv) for any amounts that exceed the fees paid by you to FrontPorch under this agreement. FrontPorch shall have no liability for any failure or delay due to matters beyond their reasonable control. The foregoing shall not apply to the extent prohibited by applicable law. FrontPorch shall not be liable for any special or consequential damages that result from the use of, or the inability to use, the services and products offered on this Site, or the performance of the services and products.

INDEMNIFICATION

You agree to indemnify and hold harmless NeighbourhoodLane, Inc. and its licensors, content providers, service providers, employees, agents, officers, directors, and contractors (“indemnitees” hereinafter) for any violation by you of the above Terms of Use. You hereby consent that the indemnitees shall bear no liability for such violations or improper use and that you will provide indemnification for all losses, damages, judgments, arbitration awards, costs, expenses, and legal fees sustained by the indemnitees resulting in connection with the above disclaimers. In addition, you also agree to indemnify and hold harmless the indemnitees regarding demands made by third parties due to use of information you accessed from this Site. FrontPorch reserves the right to pursue available legal or equity means of redress concerning violation of the above Terms and Conditions, including the right to block access to the Site from specific Internet addresses.

DISCLAIMER OF WARRANTIES

FrontPorch and its services are provided "as is". FrontPorch and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement. Neither FrontPorch nor its suppliers and licensors, makes any warranty that the Site will work properly or continuously, be error free or that access thereto will be continuous or uninterrupted. Some jurisdictions do not allow warranty exclusions, so they may not apply to you.

DISPUTES WITH NEIGHBORS OR NEIGHBORHOOD SPECIALISTS

If you have a dispute with a neighbor, NeighbourhoodLane, Inc., the Licensee, Neighborhood Specialist and any of their administrators are not responsible in any way. You release us (and our officers, directors, agents, employees, contractors, Neighborhood Specialists, their officers and directors, agents, employees) from any and all claims, demands and damages (actual or consequential) of every kind and nature, including known and unknown that arises out of or is in any way connected with such disputes.

If you are a California resident, you agree to waive California Civil Code 1542. This civil code says: “A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor.”

EMAIL

You can send messages to FrontPorch by email. However, FrontPorch makes no warranty concerning its receipt of email messages sent to it and not all email addresses are monitored.

GENERAL

The Terms of Use does not create any employment, partnership, agency, contractor, franchise relationship or joint venture.

GOVERNING LAW

This Contract shall be construed in accordance with the laws of the State of California. If any part of this Agreement is held invalid or unenforceable, that part will be construed to reflect the parties' original intent, and the remaining portions will remain in full force and effect. A waiver by either party of any term or condition of this Agreement or any breach thereof, in any one instance, will not waive such term or condition or any subsequent breach thereof. Our failure to act in a particular circumstance does not waive our right to act with respect to that or other circumstances. We shall be excused for any problem due to a circumstance beyond our control.

CHANGES TO THIS AGREEMENT

We reserve the right, at our sole discretion, to modify or replace these Terms of Use by posting the updated terms on the Site. Your continued use of the Site after any such changes constitutes your acceptance of the new Terms of Use.

Please review this Agreement periodically for changes. If you do not agree to any of this Agreement or any changes to this Agreement, do not use, access or continue to access the Site or discontinue any use of the Site immediately.
